Frequently asked questions
About appointing business advisers
I want to change advisers. How can I make sure outstanding matters are properly handled?
Before agreeing a handover date, identify upcoming deadlines, ongoing proceedings and outstanding work. This allows you to agree which firm will handle each matter and when responsibility will transfer.
The handover should include the necessary records and supporting context: previous technical positions, correspondence received and decisions still to be made. You should also confirm who holds the relevant system access rights and authorisations.
To minimise demands on your team, agree a document checklist, a timetable and a named person to coordinate the handover. You can then check what has been received and what is still missing before confirming that the transfer is complete.
I already have a finance or HR department. What support would be worth bringing in externally?
That depends on what your team needs to carry out its responsibilities. It may benefit from a specialist review, support with an unfamiliar transaction or ongoing advice on decisions with tax, employment or corporate implications.
Before appointing advisers, identify which responsibilities are well covered internally and where additional expertise, capacity or review is needed. This helps define a clear scope of work and avoids duplication.
You should also agree how findings and recommendations will be presented and who will implement them. A written report, a regular review and implementation support serve different purposes.
I’m planning a transaction, but the details are still being discussed. When should I seek advice?
Seek advice while you can still negotiate terms that could materially affect your business. The transaction structure, financing arrangements and commitments between the parties may restrict the options available later.
For an initial discussion, outline your objectives, who is involved, what has been agreed and what remains open. Distinguish between decisions already made and options you’re still considering.
You don’t need to have all the documentation ready before getting in touch. An initial assessment will help identify the information needed and the issues to resolve before proceeding.
What information should I provide to receive a proposal tailored to my business?
Alongside a description of your business, explain why you’re seeking advice and what you want to improve. Turnover and headcount provide useful context, as do your internal responsibilities and the work you want external advisers to undertake.
Depending on the service, relevant details may include the entities involved, the countries where you operate, the volume of work and any deadlines. Let us know if you have an in-house team or other advisers so we can take the coordination required into account.
This information helps define the scope of the engagement and distinguish initial work from ongoing support. It also allows you to assess whether the proposal addresses your priorities.
