It should start before receiving a bonus, joining a share plan, selling an equity interest, relocating to another country or changing the structure of the remuneration package.

This article looks at eight areas that can materially affect an executive’s tax position and that should be understood in order to make decisions with a clear view of their overall tax consequences.

Not all executive income is taxed in the same way

The starting point is to identify what is being received and why.

An executive may receive fixed salary, variable compensation, multi-year incentives, benefits in kind, shares or equity interests, investment income and, in some cases, remuneration for serving on the board of directors.

Although all of these form part of the individual’s overall income, they may be subject to different tax treatment.

Spanish Personal Income Tax legislation expressly classifies remuneration received by directors and board members as employment income. These payments are also subject to specific withholding rules, which do not necessarily mirror those applicable to an ordinary payroll.

This becomes particularly relevant when the same individual holds several roles — for example, managing director, board member and shareholder.

In those situations, it is important to determine which remuneration relates to each role and the corresponding tax treatment.

The purpose of this initial review is straightforward: to understand what income exists, where it comes from and which rules apply to each component.

The remuneration package determines how much value the executive actually retains

Two remuneration packages with the same cost to the company may produce different net outcomes for the executive, depending on how they are structured.

Benefits in kind are one factor that can affect that outcome.

Company cars, insurance, certain shares or equity interests and other benefits are subject to specific valuation rules and, in certain cases, exclusions or exemptions.

However, replacing cash salary with benefits does not automatically create a tax advantage.

The key is to determine which components are appropriate for the executive’s circumstances and how each is treated under the applicable tax rules.

This allows the package to be assessed on the basis that matters most to the executive: not simply its headline value, but its economic value after tax.

For multi-year bonuses, the vesting or accrual period can affect the tax treatment

For many senior executives, a significant proportion of remuneration is linked to performance over several years.

Long-term incentive plans, retention bonuses and incentives linked to a corporate transaction may be treated differently from annual variable compensation.

Spanish Personal Income Tax rules provide for a 30% reduction on certain employment income generated over a period of more than two years or classified as irregular income, provided the statutory requirements are met.

Not every multi-year bonus qualifies.

It is therefore important to establish the period over which the incentive has been generated, when it becomes payable and whether previous payments may affect eligibility for the reduction.

For this type of compensation, the employment contract and the terms of the incentive plan are not just supporting documents. They can be central to determining the correct tax treatment.

Stock options and share plans can create tax consequences at more than one stage

Equity-based compensation is widely used to align senior management with the company’s long-term value creation.

From a tax perspective, however, it needs to be considered across several stages.

Grant, vesting, exercise and the subsequent sale of the shares may each have different tax implications.

Other relevant issues include the valuation of the shares, whether the award constitutes a benefit in kind, and whether specific tax reliefs may apply where the relevant statutory conditions are met.

For that reason, a share plan should not be assessed only when the shares are eventually sold.

To understand its true impact, it is necessary to consider the tax treatment at each stage and how the initial employment-related income interacts with a subsequent capital gain.

Where the plan is granted by a foreign parent company, or the executive has worked in several jurisdictions during the relevant period, this analysis becomes even more important.

A change of tax residence can fundamentally alter the tax position

For internationally mobile executives, moving country can have a greater tax impact than changes to the remuneration package itself.

Tax residence determines, among other things, the extent to which an individual’s income is subject to tax in Spain.

This is particularly relevant for CEOs and senior executives relocating to Spain to manage a subsidiary, taking on regional responsibilities, returning after an overseas assignment or dividing their duties across several jurisdictions.

Spain also provides a special tax regime under Article 93 of the Personal Income Tax Law for certain individuals who move to Spain.

Eligibility depends on specific statutory conditions. A professional relocation to Spain does not automatically give access to the regime.

In an international mobility context, tax residence, employment terms, payroll, Social Security and the company’s expatriate policy should therefore be considered together. Where more than one jurisdiction is involved, international tax advice is also essential to assess treaty relief, cross-border income and potential double taxation.

Working abroad without changing tax residence creates a different set of issues

Not every internationally active executive becomes tax resident outside Spain.

A Spanish tax resident may travel regularly to manage subsidiaries, oversee international projects or provide services to other entities within the group.

In certain circumstances, Article 7.p) of the Personal Income Tax Law provides an exemption for employment income relating to work effectively performed abroad, subject to an annual limit of €60,100.
However, business travel alone is not enough.

It is necessary to assess where the work is actually carried out, which entity benefits from the services and whether the remaining statutory conditions are satisfied.

The key point is being able to link the days worked outside Spain to the functions performed and to the entity benefiting from those services.

Travel records, assignment documentation, role descriptions and internal corporate records can therefore be critical in supporting the application of the exemption.

An exit or corporate transaction can concentrate several types of income in the same tax year

Some tax years are very different from the norm.

A company sale, change of control, negotiated exit, payment of an outstanding incentive or exercise of rights under an equity plan may all occur within a relatively short period.

Several of these events may even fall within the same tax year.

At that point, looking at each transaction in isolation can give an incomplete picture.

Before signing an exit arrangement or exercising an incentive, it is important to understand what income will arise, when it will be taxable, what documentation supports the treatment and how it interacts with the executive’s other income for the year.

The objective should not be to make the commercial decision purely on tax grounds.

It should be to understand the tax cost before making the decision.

That makes it possible to negotiate with better information, anticipate cash-flow requirements and avoid finding out later that the net proceeds are materially different from the headline amount.

For executives with significant wealth, Personal Income Tax is only part of the picture

As personal wealth increases, salary alone becomes a less complete measure of an executive’s tax exposure.

Business interests, investment portfolios, real estate, dividends, international investments and future disposals can become as important as employment income.

That changes the scope of the analysis.

For example, the sale of an equity interest may generate a capital gain in the same year as a substantial bonus is paid. A change of tax residence may affect investments held in different jurisdictions. And a restructuring of personal or family wealth may create tax consequences that extend beyond Personal Income Tax for that particular year.

For executives with significant assets, it therefore makes sense to connect employment income, investments, business interests and longer-term wealth objectives.

This provides a broader view than simply optimising payroll. It helps the executive understand how professional and personal wealth decisions interact within the overall tax position.

This approach is consistent with GCO’s tax advisory offering, which includes the structuring of business and personal assets, as well as advisory for significant private wealth.

When should an executive review their tax position?

There is no single ideal date.

Waiting until November or December to review the entire year may be sufficient for some matters, but too late for others.

A more effective approach is to carry out reviews around key decision points: annual remuneration negotiations, bonus approval, entry into an incentive plan, international mobility, the acquisition or disposal of equity interests, changes to board roles, corporate restructurings or the planning of an exit.

Before year-end, it is then useful to run a full-year projection.

The aim is to confirm that the year’s transactions have been correctly structured and documented, and that no significant issue remains unresolved.

Questions every director or senior executive should be able to answer before year-end

Do I know which parts of my income will be treated as employment income and which will fall into other categories?

Have I reviewed the tax treatment of my bonus or long-term incentives before payment?

Do I understand the tax consequences of my share plan from grant through to a potential disposal?

If I work across several countries, is my tax residence clear and is my international mobility properly documented?

Is there any planned corporate or personal transaction that could coincide with other significant income in the same year?

Does my tax planning look only at the current year, or also at the decisions I am likely to make over the next few years?

If several of those answers are “no”, the issue may not be that you are paying too much tax.

The issue is that you may be making decisions without yet knowing their full tax cost.

Frequently asked questions about Personal Income Tax planning for directors and senior executives

Should the company and the executive assess the tax impact of remuneration together?

Where there is scope to design or amend the remuneration package, both perspectives should be coordinated.

A remuneration policy affects the company and the executive, but not necessarily in the same way. Reviewing the impact before approving incentives or benefits gives both parties a clearer view of the employer cost and the executive’s net outcome.

It also reduces the risk of designing a package that looks attractive on paper but produces an unexpected tax result.

What documentation should an executive retain to support their tax position?

This will depend on the circumstances, but relevant documentation may include employment contracts, bonus agreements, share-plan documents, withholding certificates, travel calendars, evidence of work carried out abroad and records relating to personal or corporate transactions.

In complex situations, being able to trace and support a decision can be just as important as the tax treatment itself.

Should Personal Income Tax be considered separately from personal wealth?

The greater the level of wealth and the number of income sources, the less useful it becomes to look at Personal Income Tax in isolation.

Salary, bonuses, equity interests, dividends, investments, property and future disposals may all fall within the same tax year and affect the overall position.

For senior executives, tax planning often adds more value when it connects employment taxation, personal wealth and future decisions, rather than treating each area separately.

What should a tax adviser provide to an executive beyond preparing the annual tax return?

Above all, forward-looking advice.

High-value tax advisory should help identify decisions with tax implications, model different scenarios, flag risks, coordinate international or wealth-related matters and ensure that the chosen tax positions are properly supported.

Understand the tax impact before making the decision

At GCO, we assess the tax implications of professional, personal wealth and international decisions in order to build a strategy tailored to each client’s circumstances.

When remuneration, investments and personal wealth become more complex, accurate compliance is only the starting point.

The next step is making decisions with the full picture in front of you.

This article is for general information purposes only and does not constitute individual tax advice.
