Staff can often move more easily. Corporate structures are familiar. And many tax rules are shaped by the same European framework.

But operating within the EU does not remove local tax exposure.

A company selling, hiring, investing or managing operations in Spain must still comply with the Spanish tax system. The group needs to determine where profits are taxed, whether it has created a permanent establishment, how Spanish VAT applies and which payroll obligations arise.

Senior executives moving to Spain face a separate set of questions. Their tax residence, employment income, investment income and social security position may all change.

These issues are closely connected. A decision made for commercial or operational reasons can trigger a Spanish tax consequence elsewhere.

This guide explains the main points European companies and executives should understand before entering or expanding in Spain.

How does the Spanish tax system affect European companies?

The Spanish tax system operates at national, regional and local level.

The central government administers the main business taxes, including:

Corporate Income Tax;

Value Added Tax;

Non-Resident Income Tax;

Withholding taxes;

most business information returns.

Spain’s autonomous communities have powers over some taxes that affect individuals, including parts of Personal Income Tax, Wealth Tax and Inheritance and Gift Tax.

Municipal authorities also levy local taxes, such as the Tax on Economic Activities and certain property-related charges.

For a European company, the tax outcome depends on more than its country of incorporation.

The key questions are:

What activity will take place in Spain?

Will the company have people or premises there?

Who will negotiate and approve contracts?

How will the Spanish operation be financed?

Will goods or services move between EU Member States?

Will executives relocate to Spain?

Which entity will bear the commercial risks?

These questions determine how Spain will tax the operation and which registrations, returns and records will be required.

Does a European company need a Spanish subsidiary?

Not always.

A European business can enter Spain through several structures. The most common are a Spanish subsidiary, a registered branch or direct cross-border activity from another EU country.

The right choice depends on the group’s commercial model, level of commitment and expected activity in Spain.

Operating through a Spanish subsidiary

A subsidiary is a separate Spanish legal entity.

It is generally subject to Spanish Corporate Income Tax on its taxable profits. It must also comply with local accounting, annual accounts, VAT, payroll and corporate obligations.

A subsidiary often provides a clear legal and operational separation between the Spanish business and the European parent company.

It may suit groups that plan to:

hire a local team;

sign Spanish contracts;

hold assets in Spain;

build a permanent commercial presence;

retain profits locally;

operate with local management.

However, the subsidiary’s transactions with the rest of the group must comply with Spanish transfer-pricing rules.

Operating through a Spanish branch

A branch is an extension of the foreign company. It is not a separate legal entity.

Profits attributable to the branch are generally taxable in Spain. The company must therefore identify which income, expenses, assets and risks belong to the Spanish activity.

A branch may involve fewer corporate formalities than a subsidiary. But it should not be viewed as a tax-free or compliance-light alternative.

The Spanish operation may still require:

local accounting records;

Corporate Income Tax filings;

VAT registration;

payroll registration;

withholding-tax filings;

transfer-pricing support for dealings with the head office.

A branch can also expose the foreign company more directly to Spanish liabilities because the parent and the branch are the same legal entity.

Tax is only one part of this decision. The group should also consider liability, governance, access to local financing, market perception and its long-term plans for Spain.

For a detailed comparison, read our guide to choosing between a subsidiary company, branch office or representative office in Spain.

Selling into Spain without a local entity

A European company may begin by selling goods or services into Spain from another Member State.

This can work where the Spanish activity remains genuinely cross-border. But it does not automatically mean that the company has no Spanish tax obligations.

The business may still need to consider:

Spanish VAT registration;

intra-EU VAT reporting;

local stock or fulfilment arrangements;

withholding tax;

permanent-establishment risk;

payroll obligations for staff working in Spain.

The absence of a subsidiary is not the same as the absence of a taxable presence.

When does a European company create a permanent establishment in Spain?

A permanent establishment, or PE, can arise when a non-resident company carries on business in Spain through a fixed place of business.

It may also arise where a person in Spain regularly acts on behalf of the foreign company and has sufficient authority over contracts or commercial decisions.

The analysis depends on Spanish domestic law and the applicable double taxation treaty.

Common risk areas include:

a fixed office or business location;

a warehouse used for more than auxiliary activity;

a local employee who negotiates or concludes contracts;

an executive who manages a business division from Spain;

a long-term installation or construction project;

a dependent sales representative;

sustained activity that forms part of the company’s core business.

Remote working deserves particular attention.

An employee working from a Spanish home does not always create a permanent establishment. But the risk increases when that employee performs senior, commercial or revenue-generating functions.

For example, the position may need closer review where the employee:

manages Spanish clients;

leads a European business unit;

negotiates key commercial terms;

approves contracts;

controls local budgets;

represents the company on an ongoing basis.

The business should assess the arrangement before the employee begins working from Spain.

A permanent establishment can trigger Spanish corporate tax, accounting, VAT, payroll and reporting obligations. If it is identified late, the company may also face interest, penalties and a retrospective reconstruction of its Spanish taxable profit.

When can a company become tax resident in Spain?

A company may be treated as Spanish tax resident if:

it was incorporated under Spanish law;

its registered office is in Spain;

its effective place of management is in Spain.

The effective-management test is particularly relevant for European groups with mobile founders, directors or management teams.

An entity incorporated in another EU country may still face a Spanish tax-residence challenge if its key business decisions are actually made from Spain.

Warning signs can include:

directors working mainly from Spain;

strategic decisions being taken in Spain;

contracts being approved from Spain;

banking and finance being controlled from Spain;

little real management activity taking place in the country of incorporation.

Corporate documents should reflect what happens in practice.

Board minutes, delegated powers, management responsibilities and the location of decision-makers should support the intended tax-residence position.

What is the corporate tax rate in Spain?

The standard Spanish Corporate Income Tax rate is 25%.

Reduced or special rates may apply to certain entities, including some smaller businesses, newly incorporated companies and companies operating under specific tax regimes.

The headline rate does not apply directly to accounting profit.

Spanish taxable income may require adjustments for:

non-deductible expenses;

depreciation;

provisions;

impairment losses;

interest-deduction restrictions;

tax losses;

related-party transactions;

dividends and capital gains;

tax credits and incentives.

A European parent company should therefore avoid estimating Spanish tax simply by applying 25% to the local accounts.

A reliable tax forecast needs to identify the main Spanish tax adjustments and how they affect the group’s effective tax rate.

Can dividends from Spain benefit from EU tax relief?

Potentially.

Payments of dividends from a Spanish subsidiary to a parent company in another EU Member State may qualify for relief under the EU Parent-Subsidiary Directive and Spanish domestic law.

Where the requirements are met, Spanish withholding tax may be reduced or eliminated.

However, the exemption is not automatic.

The group must consider:

the level of ownership;

the holding period;

the tax status of the parent;

beneficial ownership;

commercial substance;

anti-abuse rules;

supporting documentation.

A European parent company should not assume that an EU address is enough to secure a zero withholding rate.

The ownership chain, business rationale and real economic activity of the recipient all matter.

How are dividends and capital gains taxed at company level?

Spanish companies may benefit from a participation exemption on qualifying dividends and capital gains.

Subject to the legal requirements, 95% of eligible income may be exempt. The remaining 5% is generally treated as a non-deductible management expense.

This regime can be relevant where a Spanish company:

receives dividends from another group company;

sells a qualifying shareholding;

operates as a regional holding company;

owns subsidiaries in Spain or elsewhere in the EU.

The exemption depends on factors such as the percentage held, the duration of ownership and the tax status of the underlying company.

Anti-abuse rules and substance requirements should also be reviewed.

A holding structure should be built around genuine commercial and governance needs, not only the apparent tax benefit.

How do Spanish tax losses work?

Spanish companies may generally carry tax losses forward without a fixed expiry date.

But the amount that can be used in a particular year may be limited.

Tax losses should also be reviewed carefully during an acquisition, restructuring or group reorganisation.

A buyer should confirm:

how the losses arose;

whether they were correctly reported;

whether supporting records remain available;

whether they have already been reviewed by the tax authorities;

whether ownership changes affect their use;

whether annual utilisation limits apply.

A tax loss shown in a return is not automatically a fully recoverable tax asset.

Which tax incentives are available in Spain?

Spain offers a range of incentives that may reduce the cost of investment.

These can include:

research and development tax credits;

technological innovation incentives;

the patent-box regime;

incentives for film and audiovisual production;

special rules for qualifying start-ups;

deductions linked to certain investments;

regional incentives;

the Canary Islands Economic and Tax Regime;

tax-neutral restructuring rules.

The most valuable incentives often require technical evidence and detailed cost records.

R&D tax credits are a good example. A company must not only incur qualifying expenditure. It should also be able to explain the nature of the project, the technical uncertainty involved and how the costs were allocated.

The review should take place while the investment is being planned.

Read our detailed guide to tax incentives and financial benefits for subsidiaries in Spain for a closer look at the opportunities available.

How does Spanish VAT work for EU companies?

Spanish VAT is part of the EU VAT system, but local registration and reporting rules still apply.

The standard VAT rate is 21%.

Reduced rates of 10% and 4% apply to specified goods and services. Some transactions are exempt or subject to special rules.

For a European company, the main questions include:

Is the transaction a domestic Spanish supply?

Is it an intra-EU supply or acquisition?

Does the reverse charge apply?

Is the business moving its own stock into Spain?

Is local VAT registration required?

Is the customer a business or a consumer?

Are the services connected with Spanish property?

Do distance-selling rules apply?

Is the company using the One Stop Shop scheme?

Can Spanish input VAT be recovered?

Intra-EU supplies and acquisitions

Goods moving between Spain and another EU Member State may qualify as an intra-EU supply in one country and an intra-EU acquisition in the other.

The VAT treatment depends on meeting the formal and substantive requirements.

The company should hold evidence of:

the customer’s valid EU VAT number;

transport of the goods;

the commercial transaction;

correct invoice wording;

inclusion in the relevant VAT returns.

Weak transport evidence or an invalid VAT number can undermine the intended VAT treatment.

Moving stock into Spain

A company does not need to sell goods to trigger Spanish VAT obligations.

Moving its own stock from another EU country into a Spanish warehouse may create a deemed intra-EU transaction and a Spanish VAT registration requirement.

This is common in:

e-commerce;

fulfilment arrangements;

call-off stock;

consignment stock;

marketplace logistics;

regional distribution models.

The VAT position should be reviewed before goods are moved.

Services supplied across borders

Many B2B services supplied between EU companies fall under the reverse-charge mechanism.

But there are exceptions.

Services connected with real estate, events, transport, catering and certain local activities may be taxed where the service is physically carried out or where the property is located.

The contract description alone does not determine the VAT result. The company must consider what is actually being supplied.

VAT is not always financially neutral

VAT can become a real cost where:

input VAT is partly or fully non-deductible;

the company makes exempt supplies;

the invoice does not delayed;

import or warehouse arrangements are poorly structured.

VAT should be included in cash-flow planning, pricing and contract design.

It should not be left until the first Spanish VAT return is due.

When does Spanish withholding tax apply?

Spanish companies and permanent establishments may need to withhold tax from certain payments.

These may include:

dividends;

interest;

royalties;

professional fees;

rental payments;

employment income;

some payments to non-residents.

EU legislation and Spain’s double taxation treaties may reduce or remove withholding tax on certain payments.

For example, relief may be available under:

the EU Parent-Subsidiary Directive;

the EU Interest and Royalties Directive;

a bilateral double taxation treaty.

However, relief depends on meeting the legal conditions.

The Spanish payer should confirm:

the identity of the recipient;

the recipient’s tax residence;

beneficial ownership;

ownership percentages;

the holding period;

commercial substance;

whether anti-abuse rules apply;

whether valid documentation is available.

The Spanish payer may remain liable where a reduced rate was applied incorrectly.

How does transfer pricing affect European groups?

Transactions between a Spanish company and related European group entities must follow the arm’s-length principle.

This means that the price should reflect what independent parties would have agreed in comparable circumstances.

Typical related-party transactions include:

management services;

IT support;

central purchasing;

financing;

intellectual property licences;

shared employees;

distribution arrangements;

manufacturing services;

cost-sharing agreements.

The tax authorities will not only review the amount charged.

They may also ask:

Was a genuine service provided?

Did the Spanish company benefit from it?

Was the service duplicated locally?

How was the cost pool calculated?

Was shareholder activity included?

Why was a particular margin used?

Does the written agreement match the actual conduct?

Does the Spanish company earn an appropriate profit for its functions and risks?

A year-end invoice with a broad description such as “group management services” is unlikely to provide enough support on its own.

The transfer-pricing model should be agreed before transactions begin. It should then be applied consistently in contracts, invoices, accounting records and tax returns.

What transfer-pricing documentation is required?

Spanish companies may need to prepare and retain group and local transfer-pricing documentation.

The exact obligations depend on factors such as the company’s size, the transaction value and the type of related-party dealing.

Certain transactions must also be disclosed through Form 232.

European groups should coordinate Spanish documentation with their wider transfer-pricing policy.
However, a group master file does not replace the need to explain the Spanish entity’s specific activity.

The local documentation should show:

what the Spanish company does;

which assets it uses;

which risks it assumes;

how related-party prices were determined;

why the resulting profit is appropriate.

How do EU directives and tax treaties interact?

EU tax directives and double taxation treaties can reduce cross-border tax friction.

But they work in different ways.

EU directives may provide relief for qualifying payments between associated companies in Member States.

Double taxation treaties allocate taxing rights between Spain and another country. They may also:

define permanent establishment;

limit withholding tax;

allocate employment income;

provide relief from double taxation;

offer a mutual agreement procedure.

Spanish domestic law still matters.

The group must determine which rule applies, whether its conditions are met and what evidence is required.

EU membership does not remove anti-abuse rules. Relief can be denied where the recipient lacks substance, is not the beneficial owner or forms part of an artificial arrangement.

When does an executive become tax resident in Spain?

An individual is generally treated as Spanish tax resident when they spend more than 183 days in Spain during the calendar year.

But day count is not the only factor.

Residence can also arise where the person’s main centre of economic activities or interests is in Spain.

A rebuttable presumption may apply where the person’s spouse and dependent minor children habitually live in Spain.

This means an executive may become Spanish tax resident even where:

the employment contract remains with a company in another EU country;

salary continues to be paid abroad;

the executive retains a home abroad;

the assignment is described as temporary;

the person travels frequently;

the relocation takes place part-way through the year.

Spanish tax residents are generally taxed on worldwide income.

That may include:

salary;

bonuses;

share awards;

dividends;

interest;

rental income;

capital gains;

foreign pension income.

The residence review should take place before the move. It may affect payroll, tax equalisation, assignment costs and the executive’s net remuneration.

Can executives use Spain’s inbound-worker tax regime?

Some executives and other qualifying individuals who move to Spain may elect to use the special tax regime for inbound workers.

It is often known as the “Beckham Law” regime.

Under the regime, eligible individuals remain Spanish Personal Income Tax taxpayers but are taxed broadly under rules based on Non-Resident Income Tax.

Qualifying employment income is generally taxed at 24% up to €600,000. A higher rate applies above that amount.

The regime can apply during the year in which Spanish tax residence is acquired and the following five tax years, provided the conditions remain satisfied.

The regime may be available to:

employees transferred to Spain;

individuals hired by a Spanish employer;

certain directors;

qualifying entrepreneurs;

some highly skilled professionals;

individuals carrying out qualifying training, research or innovation activity.

Eligibility depends on the facts.

The individual must also apply within the statutory deadline.

Is the inbound-worker regime always beneficial?

No.

The 24% rate can appear attractive, but the comparison should consider the executive’s full position.

Relevant factors include:

total employment income;

foreign investment income;

capital gains;

deductions available under the ordinary regime;

family circumstances;

share-based remuneration;

property ownership;

Wealth Tax exposure;

the expected duration of the assignment.

The ordinary resident regime may produce a better result in some cases.

The decision should be modelled before the election is submitted.

How do EU social security rules apply?

Tax and social security are separate areas.

An employee may become taxable in Spain while remaining temporarily covered by the social security system of another EU Member State.

EU coordination rules are designed to prevent an employee from being subject to two social security systems at the same time.

A posted worker may remain insured in the home country where the legal conditions are met and the relevant A1 certificate has been obtained.

The position depends on:

the duration of the posting;

the employee’s normal place of work;

whether the employee works in more than one country;

the relationship between the sending and receiving entities;

whether the assignment is temporary;

whether another posted worker is being replaced.

An A1 certificate should not be treated as an administrative afterthought.

It provides evidence of which country’s social security legislation applies.

<figure class="wp-block-image employer may face Spanish payroll obligations even if it does not have a Spanish subsidiary.

The position depends on the employee’s work location, tax residence, social security coverage and the employer’s Spanish presence.

Possible obligations include:

employer registration;

Spanish payroll withholding;

social security registration;

salary and benefit reporting;

reporting of share-based remuneration;

shadow payroll;

annual employment summaries;

coordination with the home-country payroll.

Payroll should reflect all taxable remuneration.

This may include:

base salary;

bonuses;

housing;

school fees;

company cars;

relocation support;

tax equalisation payments;

equity awards;

pension contributions.

Cross-border payroll errors are common because information is split between HR, finance, the home-country payroll and the Spanish adviser.

A clear reporting process is essential.

What is the additional solidarity contribution?

Spain introduced an additional solidarity contribution on employment income above the maximum social security contribution base.

It affects both employers and employees and is being phased in over time.

The measure is relevant to highly paid executives, directors and specialists assigned to Spain.

Employers should include it when calculating:

total employment cost;

assignment budgets;

gross-up calculations;

executive remuneration packages;

payroll provisions.

Our guide to the additional solidarity contribution explains how it works and what employers need to prepare for.

<img decoding="async" width="1024" height="1024" company posting staff to Spain must consider more than social security.

Depending on the arrangement, the employer may also need to address Spanish labour conditions, posted-worker notifications, payroll withholding, permanent-establishment risk, expense reimbursement, working-time records, health and safety, immigration requirements for non-EU nationals, and coordination between the home and host entities.

The tax, labour and social security analyses should be completed together. A posting may be compliant from a social security perspective but still create a payroll or permanent-establishment issue.

GCO’s employee mobility services for businesses help companies structure international assignments, intra-group transfers and expatriations in line with the relevant tax, employment and social security requirements.

Do executives need to consider Wealth Tax?

Potentially.

Executives who become Spanish tax resident may need to consider:

Wealth Tax;

the Temporary Solidarity Tax on Large Fortunes;

overseas asset-reporting obligations;

foreign investment structures;

trusts or similar arrangements;

Inheritance and Gift Tax.

The result depends on factors such as:

the executive’s region of residence;

asset values;

ownership structure;

marital arrangements;

available exemptions;

the application of the inbound-worker regime;

relevant treaty provisions.

Regional differences can be material.

Senior executives should therefore review their asset position before relocating, not only their salary.

Which filings may a European company need in Spain?

The compliance calendar depends on the company’s structure and activity.

Common obligations include:

Corporate Income Tax returns;

corporate tax instalment payments;

VAT returns;

intra-EU transaction statements;

withholding-tax returns;

payroll filings;

social security filings;

related-party transaction disclosures;

census registrations;

annual information returns;

Immediate Supply of Information reporting, where applicable.

A good compliance calendar should show more than filing dates.

It should also identify:

who supplies the data;

which system produces it;

who checks the figures;

how the return reconciles with the accounts;

what supporting documents must be retained;

who approves the submission.

Spanish tax compliance often breaks down because responsibility is divided across several countries and departments.

Clear ownership reduces that risk.

Which areas attract tax scrutiny?

European groups operating in Spain commonly face questions around:

permanent establishments;

transfer pricing;

management fees;

intragroup financing;

interest deductibility;

VAT recovery;

intra-EU transactions;

withholding-tax relief;

executive tax residence;

posted workers;

payroll reporting;

corporate substance;

use of tax losses;

discrepancies between returns and accounting data.

The Spanish tax authorities compare information from multiple sources.

Corporate tax returns may be reviewed alongside VAT filings, payroll records, transfer-pricing reports, financial statements and data received from other jurisdictions.

Consistency matters.

The legal structure, contracts, invoices and actual conduct should tell the same story.

Seven questions to answer before entering Spain

A European company should address these questions before starting operations.

1. What will the company do in Spain?
Identify the people, assets, functions and risks that will be located in the country.

2. Is a subsidiary, branch or cross-border model more suitable?
Compare tax, legal, financial and commercial consequences.

3. Could the activity create a permanent establishment?
Review offices, remote workers, sales authority, projects and local representatives.

4. How will the Spanish operation transact with the group?
Set transfer-pricing policies for services, financing, goods and intellectual property.

5. What VAT registrations and reporting obligations arise?
Map the movement of goods and services before invoicing begins.

6. Who will work in Spain?
Review tax residence, payroll, posted-worker rules, social security and the inbound-worker regime.

7. Who will manage Spanish compliance?
Create a calendar, assign responsibilities and establish a reporting process.

These questions help the group build tax into its operating model instead of treating it as a year-end correction.

Frequently asked questions about the Spanish tax system

What does a European company need before it can file taxes in Spain?

A company will normally need a Spanish tax identification number and the appropriate registrations with the Spanish Tax Agency.

It must also be able to communicate with the authorities electronically. In practice, this means obtaining and managing a digital certificate. Companies use it to submit tax returns, access official communications, respond to requests and complete procedures with the Tax Agency and Social Security.

This should be arranged before the first filing deadline. An unread electronic notification can still produce legal effects, so the company must also decide who will monitor the electronic mailbox and act on incoming communications.

Our guide explains what a digital certificate is and why it is essential to operate in Spain.

Is Spain a high-tax jurisdiction for European companies?

That depends on the company’s structure, sector and activity.

The standard Corporate Income Tax rate is only one part of the picture. A company’s effective tax burden may also be affected by interest-deduction limits, transfer-pricing adjustments, withholding taxes, VAT recovery, payroll costs and access to incentives.

A business with a well-designed structure may benefit from participation exemptions, research and development incentives, treaty relief or EU directives. A poorly aligned structure may face tax leakage even when the headline rate appears competitive.

The more useful comparison is therefore not Spain’s nominal rate versus another country’s rate. It is the total tax cost of operating the business model in Spain.

Can a European group use Spain as a holding-company jurisdiction?

Potentially.

Spain offers tax rules that may benefit qualifying dividends and capital gains. It also has a special regime for certain foreign-securities holding companies.

However, the structure must meet legal, substance and anti-abuse requirements.

For more detail, see: Is a holding company the best way to manage your international subsidiaries?

Can profits move between Spain and another EU country without additional tax?

Sometimes.

EU rules and double taxation treaties may reduce or remove withholding tax on dividends, interest and royalties.

The relief is not automatic. Ownership, tax residence, beneficial ownership and substance must be checked before payment.

Does Spain recognise tax-neutral cross-border reorganisations?

Yes, in certain cases.

Qualifying mergers, divisions, share exchanges and asset contributions may benefit from tax deferral.

The transaction must meet the legal conditions and have a valid commercial reason.

Can a company obtain advance certainty from the Spanish tax authorities?

In some cases.

A company may submit a written tax query about how Spanish tax law applies to a specific transaction.

The answer depends on the facts provided, so the transaction must be described accurately.

How does Spain deal with aggressive tax planning?

Spain applies domestic, EU and OECD anti-abuse rules.

The tax authorities may challenge arrangements that lack commercial substance or do not reflect the way the business actually operates.

Groups should be able to explain the purpose of their structure and the role of each entity.

Does the Spanish tax system differ between regions?

For companies, the main taxes are largely national.

For individuals, regional differences can affect Personal Income Tax, Wealth Tax and Inheritance and Gift Tax.

This can be important when relocating executives or shareholders.

Can a tax issue in Spain affect the wider European group?

Yes.

A Spanish tax adjustment may affect another group company or create double taxation.

This often happens in transfer-pricing, withholding-tax, permanent-establishment and tax-residence disputes.

What should a company do if Spain and another country tax the same income?

The relevant double taxation treaty should be reviewed first.

Relief may be available through an exemption, a tax credit or a mutual agreement procedure between the two tax authorities.

Strong documentation is essential.

Make the Spanish tax system work for your business

Understanding the rules is the starting point.
